These Terms of Use govern your access to and use of the MAXPlaces website. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Scope

These are the Terms of Use governing this website. They are separate from any services agreement, including the Master Services Agreement, that governs paid engagements between MAXPlaces and its clients; where a signed services agreement exists, it controls the services it covers (see Section 2).

Welcome to the website of MAXPlaces Marketing, LLC (“MAXPlaces,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website at maxplaces.com (the “Site”).

1. Acceptance of these Terms

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. These Terms apply to all visitors and users of the Site.

2. Relationship to services agreements

These Terms govern use of the Site only. Any digital marketing, consulting, AI visibility, SEO, advertising, content, or other services provided by MAXPlaces are governed by a Master Services Agreement, statement of work, proposal, order form, or other separate written agreement between MAXPlaces and the client. In the event of a conflict between these Terms and a signed services agreement regarding the services it covers, the services agreement controls.

3. Eligibility

The Site is intended for business users and individuals who are at least 18 years old (or the age of majority in your jurisdiction). By using the Site, you represent that you meet these requirements and have authority to accept these Terms on behalf of yourself or the entity you represent.

4. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Site in any way that violates applicable law or regulation;
  • attempt to gain unauthorized access to the Site, its servers, or related systems;
  • probe, scan, test, or attempt to bypass the vulnerability, security, authentication, or access controls of the Site or related systems;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas from the Site except where applicable law prohibits this restriction;
  • interfere with or disrupt the Site's operation, security, or other users' use of it;
  • introduce malware or harmful code;
  • make excessive automated requests or otherwise impose an unreasonable load on the Site or its infrastructure;
  • scrape, harvest, frame, mirror, or collect data from the Site by automated means without our written permission;
  • impersonate any person or entity, misrepresent your affiliation with any person or entity, or submit false or misleading information;
  • interfere with APIs, forms, analytics, security tools, or third-party services connected to the Site;
  • copy, reproduce, distribute, or create derivative works from the Site's content except as permitted in Section 6; or
  • use the Site or its content to develop, train, fine-tune, benchmark, test, validate, or improve artificial intelligence, machine learning, or large language models without our prior written consent.

5. Artificial intelligence and automated access

MAXPlaces may employ artificial intelligence, automation, analytics, or similar tools in connection with operating the Site, improving informational content, and supporting business operations, as described in our Privacy Policy.

Except where expressly permitted by MAXPlaces in writing, no person or entity may use automated tools, bots, scrapers, large language models, AI agents, browser agents, crawlers, or similar technologies to systematically collect, extract, reproduce, republish, summarize, commercialize, or use Site content for commercial purposes or to train, fine-tune, benchmark, validate, or improve artificial intelligence systems. Nothing in these Terms grants any license to use Site content for machine learning, model training, dataset creation, or similar uses.

General-purpose search engine crawling that respects our published technical instructions, such as robots.txt or similar crawler guidance, is not prohibited by this section.

6. Intellectual property

The Site and its content — including text, graphics, logos, designs, audio, video, downloads, data, reports, page structure, and the MAXPlaces name, the S.T.A.R.SM framework, LLMS AmplifierTM, and other proprietary materials, trademarks, and service marks — are owned by MAXPlaces or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not use, copy, reproduce, distribute, modify, publicly display, publicly perform, or create derivative works from any Site content without our prior written consent.

Nothing in these Terms grants you any right or license to our trademarks, service marks, proprietary frameworks, methodologies, data, or materials. All rights not expressly granted are reserved.

7. Submissions, feedback, and communications

If you submit information through the Site (e.g., a contact or inquiry form) or otherwise communicate with us, you represent that the information is accurate and that you have the right to provide it. We handle personal information as described in our Privacy Policy. Do not submit confidential information you do not wish to share, and do not submit content that is unlawful, infringing, or harmful.

Any suggestions, comments, ideas, or feedback voluntarily submitted to MAXPlaces may be used by MAXPlaces without restriction, obligation, or compensation to you.

By communicating with us electronically, you consent to receive communications from us electronically, including by email, website forms, and other digital channels. You agree that electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

8. Third-party links and content

The Site may contain links to third-party websites or resources, embedded videos, maps, social media content, plugins, widgets, AI-related tools, analytics tools, or other third-party content we do not control. We provide these for convenience and are not responsible for the content, products, availability, accuracy, privacy practices, or terms of third-party sites or services. Your use of third-party sites and services is at your own risk and subject to their terms.

9. Disclaimers and no reliance

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, or timeliness. We do not warrant that the Site will be uninterrupted, secure, error-free, current, complete, or free from harmful components.

Portions of the Site may discuss artificial intelligence, search engines, digital marketing, search rankings, AI visibility, analytics, advertising, emerging technologies, or related subjects. Such information is provided for general informational purposes only and should not be relied upon as legal, technical, regulatory, financial, or business advice. Decisions made in reliance on information available through the Site are made solely at your own risk.

Nothing on the Site guarantees any search ranking, AI citation, AI visibility outcome, marketing performance, traffic level, lead volume, revenue result, or other business result.

10. Availability and security

We may modify, suspend, restrict, or discontinue the Site, any part of the Site, or your access to the Site at any time, with or without notice. We are not responsible for any unavailability, interruption, delay, loss, or modification of the Site or its content.

Although we employ reasonable security measures, we do not guarantee that the Site, emails, links, files, downloads, or third-party content available through the Site are free of viruses, malware, or other harmful components. You are responsible for using appropriate safeguards, including antivirus protection, secure configurations, and backups.

11. Limitation of liability

To the fullest extent permitted by law, MAXPlaces and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, search visibility, AI visibility, advertising performance, or other commercial outcome, arising from or related to your use of (or inability to use) the Site, even if advised of the possibility of such damages.

This limitation applies regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, warranty, statute, or any other legal theory. To the fullest extent permitted by law, our total liability for any claim relating to the Site will not exceed USD $100.

12. Indemnification

You agree to indemnify and hold harmless MAXPlaces and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms or applicable law.

13. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we collect and use information.

14. Changes to the Site and these Terms

We may modify, suspend, restrict, or discontinue the Site (or parts of it) at any time without notice. We may also update these Terms; we will post the updated version with a new “Last updated” date. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

15. Copyright complaints

If you believe content on the Site infringes your copyright or other intellectual property rights, please contact us using the information in Section 21 and include enough detail for us to identify the material, understand the claimed infringement, and contact you. We may remove or disable access to content at our discretion and may request additional information before taking action.

16. No relationship created

Use of the Site, submission of a form, receipt of content, or communication with MAXPlaces through the Site does not create any agency, partnership, joint venture, employment, fiduciary, consultant-client, or other professional relationship. A client relationship is created only through a written agreement accepted by MAXPlaces.

17. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

18. Dispute resolution

We encourage you to contact us first so we can try to resolve any concern informally. Any dispute arising from or relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New York, and you consent to venue there.

19. Force majeure

MAXPlaces will not be liable for any delay, failure, interruption, or inability to perform resulting from events beyond its reasonable control, including outages, cyber incidents, labor disruptions, natural disasters, acts of government, changes to third-party platforms, failures of hosting or communications providers, or other events outside our reasonable control.

20. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms (together with the Privacy Policy, Cookie Policy, and any applicable services agreement) constitute the entire agreement between you and MAXPlaces regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, restructuring, financing, or sale of assets.

Sections relating to intellectual property, artificial intelligence and automated access, disclaimers, limitation of liability, indemnification, privacy, copyright complaints, no relationship created, governing law, dispute resolution, force majeure, and any other provisions that by their nature should survive termination will survive termination or expiration of these Terms.
